Direct Counsel is representing an Amlaw 100 firm seeking a versatile real estate transactional attorney with a focus on joint venture structuring and tax-efficient deal execution to join its Dallas office. This is a full-time, onsite position for a dynamic legal professional looking to play a critical role in high-stakes real estate transactions.

About the Role:

The successful candidate will lead and support complex real estate joint venture transactions from term sheet to closing. This includes preparing and negotiating joint venture agreements, advising on ownership structures, and aligning transactional terms with clients’ investment strategies. In addition, you will serve as a resource on real estate tax matters, conducting tax due diligence and guiding clients through tax-efficient structuring of transactions.

This hybrid role is ideal for a confident attorney who enjoys both front-end dealmaking and strategic tax planning within the real estate sector.

Key Responsibilities:

  • Draft and negotiate joint venture agreements and advise on ownership and investment structures.

  • Manage all aspects of joint venture transactions, including risk assessment and closing.

  • Advise clients on real estate tax matters, including tax due diligence and tax-efficient structuring.

  • Provide strategic legal counsel to support clients’ real estate investment goals across various asset classes.

Qualifications:

  • Strong experience in real estate joint ventures, including deal structuring and negotiation.

  • Background or working knowledge of tax law, especially as it pertains to real estate investments.

  • Ability to manage multiple, complex projects and communicate effectively with clients.

  • Excellent drafting, negotiation, and analytical skills.

  • JD from an accredited law school and admission to the Texas Bar (or eligibility to become licensed promptly).

Compensation & Benefits:

  • Salary range: $250,000 – $310,000/year, commensurate with experience.

  • Discretionary annual bonus eligibility.
