About the Role:

We are looking for a proactive and business-minded General Counsel to serve as a strategic advisor and hands-on legal partner to the executive team. As the company’s first full-time General Counsel , you’ll be responsible for owning and scaling legal operations across all facets of our growing startup—including commercial transactions, corporate governance, financing and M&A transactions, compliance, and other strategic business initiatives. This role is ideal for someone who thrives in dynamic environments and has experience as a legal leader and is excited to build a legal team from the ground up.

Responsibilities:

  • Advise the executive team and the Board of Directors on corporate governance, compliance, financial and M&A transactions, and similar matters of strategic importance.

  • Create, implement, and maintain corporate policies and procedures.

  • Manage the Company’s IP and litigation dockets.

  • Work with management and staff to develop legal and business strategy regarding IP, licensing, data privacy, compliance, and risk management across the business.

  • Develop and implement a strong compliance program that ensures the Company’s compliance with all applicable laws, regulations, and licensing obligations across multiple jurisdictions.

  • Draft, review and negotiate a broad range of commercial agreements, including vendor contracts, IaaS, and SaaS customer agreements, hardware/software purchases and leases, MSAs, SOWs, NDAs, and strategic partnerships, and work with internal teams to develop and refine form agreements over time.

  • Oversee and direct the work of outside counsel for specialized matters and efficiently manage overall legal spend, including setting and maintaining an annual legal budget.

  • Oversee strategic corporate structuring decisions, including strategic initiatives and implementing intercompany transaction agreements that address cost-sharing, IP ownership, service arrangements, and transfer pricing considerations in coordination with internal stakeholders including finance and tax teams.

  • Build internal legal frameworks, templates, and contract management workflows that support hyperscale.

  • Collaborate with internal stakeholders to understand business objectives and ensure its policies and agreements reflect these goals while managing legal risks.

  • Efficiently manage risk and ensure business needs and risk are balanced and accurately reflected in the company’s commercial and other agreements.

Essential Skills & Qualifications:

  • Strong leadership and management skills, with a proven ability to build and lead a team of legal professionals and work cross-functionally with management and staff of a fast-growing company.

  • 12+ years of legal experience, with a preference for a mix of law firm and in-house work, and of which 5+ years of experience must be as an in-house counsel, preferably as a General Counsel, and preferably also with experience specializing in the negotiation of complex commercial transactions, including technology transactions.

  • Demonstrated expertise in corporate governance, compliance, and risk management.

  • Strong academic credentials and admission to one state bar, with the ability to work in-house in Nevada.

  • Demonstrated ability to lead complex negotiations with a solutions-oriented approach.

  • Excellent legal and business judgment, with the ability to balance legal risks against business objectives and quickly present recommendations to different stakeholders at all levels of the organization.

  • Strong organizational skills and the ability to manage multiple projects simultaneously, including the ability to meet deadlines in the face of competing priorities.

  • Self-motivated team player.

  • Enjoys understanding new technologies with the ability to quickly learn them.

Additional/Preferred Qualifications:

  • Experience working for fast-paced technology companies, particularly in the cloud-computing, IaaS, or SaaS sectors.

  • California or New York bar admission.
