Job Description
Who You’ll Work With
Arista is seeking a Securities Counsel to join a dynamic and growing company and global legal team. The Securities Counsel will provide legal counsel and advice to the executive team, finance, HR and business partners on a variety of securities law matters, corporate governance, and other matters.
What You’ll Do
- Draft, review and revise SEC filings, including annual and quarterly reports, proxy statements, 8-K filings, Section 16 filings and other filings; assist with annual meeting matters.
- Monitor SEC and NYSE rules and corporate governance developments.
- Support the preparation of earnings releases, investor relations materials and other public disclosures.
- Advise on Regulation FD and public disclosure matters.
- Advise on securities law compliance, including insider trading policies, shareholder proposals, and other matters.
- Advise on corporate governance matters, including Board and committee matters.
- Review and provide strategic advice on policies of proxy advisory firms, institutional investors and other rating agencies.
- Assist in corporate policy reviews and improving policy practices and processes; assist with training.
- Assist with subsidiary management and compliance matters.
- Assist with investments and M&A.
Qualifications
- Juris Doctor Degree and bar membership in good standing.
- 6-10 years of relevant securities experience as an attorney.
- Previous in-house and law firm experience at a nationally-recognized firm preferred. Experience with publicly traded companies and broad knowledge of federal securities laws.
