Job DescriptionA well-established Central Florida law firm is seeking an experienced Corporate Paralegal to join its Orlando office. This full-time position supports a team of attorneys handling a broad range of corporate matters across industries such as real estate, finance, healthcare, technology, and more.
Position Overview
The Corporate Paralegal will play a key role in managing corporate transactions, governance, and compliance. The ideal candidate will have at least five years of recent experience in a law firm or corporate legal department and be comfortable handling complex matters with minimal supervision.
Key Responsibilities
Corporate Governance & Entity Management

Form and maintain business and nonprofit entities across multiple states

Draft and file formation documents, operating agreements, bylaws, and annual reports

Maintain corporate records and governance documentation
Transactional Support
-
Support mergers, acquisitions, and reorganizations

Prepare closing binders, signature packets, and coordinate transaction timelines

Draft amendments, dissolutions, and related filings
-
Conduct UCC, lien, and judgment searches and filings
Compliance & IP Management

File Form Ds and Blue Sky notices
-
Manage trademark and copyright filings
-
Interface with state and federal agencies on compliance matters
Research & Administrative Support

Conduct legal research and prepare summaries

Maintain client files and assist with project tracking and deadlines
Qualifications
-
Minimum 5 years of relevant corporate paralegal experience

Strong knowledge of corporate governance, M&A, and securities compliance

Proficiency with LexisNexis, Microsoft Office, and legal software (iManage, ATO preferred)

Excellent drafting, communication, and organizational skills

Ability to manage multiple priorities independently and under tight deadlines

Bachelors degree or paralegal certificate preferred

Familiarity with Floridas Sunbiz portal and corporate procedures preferred

Florida Notary or willingness to obtain

Pay Details: $70,000.00 to $78,000.00 per year
